GO PRO CERTIFICATION PROGRAM TERMS AND CONDITIONS

            These Go Pro Terms and Conditions (these “Terms”), together with the terms stated in the order form accepted by Network Marketing Pro, Inc. (“NMP,” “we,” “our,” or “us”) to which these Terms are referenced, linked, attached, or incorporated by reference (the “Order”) and any terms, conditions, policies, or document referenced in these Terms (collectively, the “Agreement”) and entered into between NMP and the person named in the Order (“you” or “your”) and are effective as the effective date stated in the Order.

1. Services.

• Generally. Subject to the terms and conditions of this Agreement, NMP or its designee will provide those services (the “Services”) and the content and materials (the “Content”) specified in the Order, which may include: (i) those training services specified in the Order (“Training Services”); (ii) student workbooks and supporting materials specified in the Order (“Training Content”); (iii) online access to those recordings specified in the Order; (iv) access to the content and online services specified in the Order (“Content Subscriptions”); or (v) business consulting services.

• Certification, No Endorsement. Upon your completion of those Training Services to our satisfaction, we will provide you a certificate of completion. Without limiting the other terms and conditions of this Agreement (including Section 6), you understand and agree that any such certification only means that we have provided you with the Training Services. You agree that you will not state or represent, directly or indirectly, any relationship with or endorsement by NMP or any of its affiliates or its or their employees or contractors.

• Time of Performance. We will perform the Services and make available the Content at the times or for the durations stated in the Order or, if not stated in the Order, solely during the Term (as defined below). Unless specific amount(s), date(s), time(s), and/or duration(s) are specified in the Order, the number of contacts or events (whether in-person, telephone calls, or other communications), the number of performances of the Service, specific times to perform the Services, and duration of any contact or event will be as specified by us or as mutually agreed by you and us.  For Services to be performed as mutually agreed, such performance is subject to other prior engagements, tentative engagements, and blackout periods.  Unless specified in the Order, we provide no assurance that the Services may be available for any particular time(s) unless or until we have agreed in writing.  We have no obligation to reschedule Services or provide additional Services that do you not or cannot attend.

• Location. Services to be performed in-person will be performed at the location stated in the Order or, if not stated in the Order, at the location(s) specified by us.  If Services are offered both in-person and remotely, within 30 days prior to the start of the Services you may convert your in-person access credential for the Services to remote access, or subject to availability, you may convert your remote access for the Services to in-person access credentials.  You must send an email to our customer service using the email address on our website. You may be required to agree to any additional or different terms and conditions applicable to the transferred access credentials or remote access, and you may be required to provide additional information necessary to identify you and your account.  You may be required to pay additional fees for such transfer if the then-current price of the transferred access credentials or remote access exceeds the price you previously paid to us.

• Languages. The Services and Content (whether spoken, electronic, or written) will be in English and any other language(s) stated in the Order or as we may specify in writing from time to time (each a “Supported Language”).  We will not provide you with official translations for the Services or Content in any language other than a Supported Language.  You may obtain, at your sole cost, simultaneous or nearly simultaneous translation services of the audio portion of the Services solely for your personal use and not for the use or benefit of any other person.  No additional login or access credentials will be provided for any portion of the Services for translation services. Your translator must be physically present with you while accessing the Services using your personal login or access credentials on the same device. No additional login or access credentials or devices are permitted. Neither you nor your translator may record any portion of the Services or any translation thereof.

• Changes. We reserve the right, at our discretion, to change any and all aspects of the Services or Content, including, but not limited to, themes, content, agendas, speakers, coaches, trainers, guests, dates, and times.  If we are unable to conduct the Services as planned for reasons outside of our control, we may postpone, change the time, change the location, or change the method of attendance (for example, to or from in-person or remote).  We will use reasonable efforts to notify you of material changes to the Services or Content, which notification will be in advance of the change if reasonably possible.  Such notification may be by posting on our website, any website or social media site for the Services or Content, email, or announcement during the Services.

• Policies, Rules, Regulations, and Guidelines. While at our venues, you will abide by our then-current policies, rules, regulations, and guidelines, including our then-current on-site safety and security policies, rules, regulations, and guidelines, applicable to similarly situated customers for the Services.  We may from time to time amend, add, or cancel policies, rules, regulations, and guidelines at our sole discretion and such amendment will not affect the enforceability or terms of this Agreement. 

• Business Consulting Services. If any of the Services are business consulting services, the Order will specify the scope of the Services, which may include the time and location of any meetings or calls, any methods for communicating, or if not specified in the SOW, as stated in this Section 1. If you are provided an email address, phone number, or other communication methods to contact our representative performing the Services, you may send a reasonable number of communications with your business-related communications related to the Services. Such representative will use reasonable efforts to respond to such communications with reasonable promptness based on availability, however the representatives are not “on-call” for you, nor expected to ever return any communications within any given amount of time.

• Training Content. If the Order states that you will be granted access to any Training Content, you will be granted such access subject to the separate terms and conditions applicable to such Training Content, as may be modified from time to time. Without limiting the foregoing, we grant you during the period specified in 1(c) a non-exclusive, limited license to use any Training Content for your internal business use only. The Training Content may not be distributed in any manner or otherwise commercialized or sold.  We may terminate your license to the Training Content: (i) upon expiration or termination of this Agreement by us or by you without cause, or (ii) upon notice to you if you breach any term of this Agreement or any other terms related to the Training Content.

• Content Access. If the Order states that you will be granted access to any Content system or software, you will be granted such access subject to separate terms and conditions applicable to the system or software, as may be modified from time to time.  Without limiting the foregoing, we grant you during the period specified in 1(c) a non-exclusive, limited license to use the system or software for your internal business use only. We may terminate your license to the system or software: (i) upon expiration or termination of this Agreement by us or by you without cause, or (ii) upon notice to you if you breach any term of this Agreement (including lack of non-payment) or any other terms related to the system or software.

2. Your Expenses and Obligations.

• Travel and Lodging. You are solely responsible for all costs and risk associated with attending the Services in-person, including travel and lodging, meals, visas, and travel permit, and any fees or costs if we change the Services, including cancellation fees or rebooking fees. During period in which national, state, or local health officials have issued warnings or restrictions applicable to the location where the Services are held, you may be required to agree to a waiver of claims and assumption of risks as a condition to attend the Services in-person.

• Remote Access. You are solely responsible for all costs associated with accessing and using the Services and Content, including internet access with sufficient capacity, computer equipment (including webcam and microphone), and software (including the video conferencing software platform designated by us), as we may change from time to time. We may require that you separately register for an account to access the Content or Services, including providing an email address or other identifying information.

• Conduct. Your conduct during the Services must be respectful, considerate, and courteous towards others, and you must not engage in any misconduct, profanity, obscenity, bullying, badgering, or disruption of other attendees, speakers, our staff, or venue personnel.  Without limiting its other remedies, if we determine at any time that you have violated this provision, we may revoke your access credentials, retain any payments made by you, and ban you from our future Services.

• Third-Party Terms and Conditions. You may be required to agree to the terms and conditions of third parties to use the Services or Content.  If you fail to agree to such third-party terms and conditions, then your access to the Services or Content may be denied to the extent that such third-party terms and conditions are required.

• Business Consulting Services. For Services constituting business consulting services, you will: (i) provide full and free access to any information or data, including any information systems, within your possession or control necessary or helpful in the performance of the Services; and (ii) for in-person meetings at locations other than venues secured by us, any reservations, rental, or leasing arrangements and associated parking.

3. Price and Payment.

• Fees. You will pay the fees in accordance with the payment plan and terms set forth in Order.  All amounts are in U.S. Dollars and will be converted to your country’s currency by your Payment Method provider.  Your Payment Method provider may impose fees or an unfavorable exchange rate associated with any conversion to U.S. Dollars.  Our fees do not include, and you will pay, any sales, use, value added, or other applicable tax. We reserve the right to change or cancel pricing or promotions at any time without notice.

• Payment Method. You authorize us or our payment processor to charge your current, valid, accepted payment method (the “Payment Method”) for the fees stated in the Order.  If you pay an initial charge, down payment, or partial payment for the Services or Content, you authorized us or our payment processor to charge the Payment Method for such additional charges at such times as stated in the Order until all amounts owed are paid in full.  You will comply with all applicable terms and conditions of your Payment Method provider.  You remain responsible for any uncollected amounts.  You may update your Payment Method by contacting our customer service.

• Guarantee. We want you to feel fully confident in your investment. If within the first 30 days of enrollment, you determine that the certification program did not provide value, you may request a full refund under the following conditions:

 

1. Refund Window:
   Refund requests must be submitted in writing within 30 days of your purchase date. Requests received after the 30-day period will not be eligible.

1. Participation Requirement:
   To qualify for a refund, you must demonstrate that you actively participated in the program. This includes:

1. • Proof of attendance for scheduled classes, coaching calls, or live sessions (e.g., attendance logs, screenshots, or platform-generated records).
   • Proof of completion of required assignments, exercises, or coursework up to the point of the refund request.

1. Submission of Documentation:
   All participation and assignment documentation must be submitted at the time you request a refund. Incomplete or missing documentation will result in the refund request being denied.

 

1. Program Access Upon Refund:
   If a refund is approved, your access to all program materials, portals, communities, and resources will be revoked immediately.

1. Processing Time:
   Approved refunds will be processed within 10 business days to the original payment method on file.

 

By enrolling in the program, you acknowledge and agree to these refund terms.

• Remedies. Without limiting any other remedy available, if you fail to pay any amounts when due, (i) we may charge you an additional late fee on any amount past due multiplied by one and a half percent (1.5%) per month or at the highest amount permitted by applicable law, whichever is less, until paid in full, and (ii) we may suspend your access to the Services or Content or any part at our discretion.

4. Term and Extension or Termination.

• Term. The term of this Agreement will begin on the date specified in the Order and, unless earlier terminated in accordance with this Agreement, will continue for a period of 11 months thereafter (the “Term”).

• Termination. This Agreement, access to the Services, and license to any Content will immediately terminate (i) by us if you fail to pay any amount due within 5 days after notice from us; (ii) by either party in the event of a breach or default by the other party of any term of this Agreement or any term of any other agreement or obligations between the parties, which breach or default is not remedied within the time specified herein or therein or, if not so specified, with 30 days after written notice by the non-defaulting party; or (iii) if a party becomes insolvent, or makes an assignment for the benefit of its creditors, or proceedings in voluntary or involuntary bankruptcy or similar proceedings are instituted in behalf of or against the party, or a receiver or trustee of the party’s property is appointed.

• Actions on Termination. Without limiting any other obligations as specified in agreements or terms incorporated in this Agreement, upon any expiration or termination of this Agreement: (i) you will promptly pay us any amount due or to come due under this Agreement; (ii) all licenses and accesses to the Content will immediately cease and terminate; (iii) you will promptly return to us all of our property, intellectual or otherwise, within your possession or control, except to the extent licensed to you for use beyond the term of this Agreement; and (iv) except for the foregoing and such other obligations that survive expiration or termination, all of the obligations of the parties under this Agreement will cease.

• Survival. The terms and provisions set forth in Sections 3, 4, 5, 6, 7, 9, 10, and 11 will survive the expiration or termination of this Agreement for any reason.

5. Intellectual Property Ownership.

• Presentation Ownership, Recording, and Distribution. We and our licensors are the sole and exclusive owner of all of the right, title, and interest in all aspects of the Services and Content, including Training Content, Content Subscriptions, any speeches, presentations, and associated materials, and any intellectual property rights and goodwill (the “NMP Rights”).  Except as expressly permitted under this Agreement, you will not and will not allow any others under your authority or control to reproduce, distribute, broadcast, post, publicly perform, publicly display, or exercise any other rights in the NMP Rights, and will exercise all efforts to prevent Service attendees or others from doing the same, including providing prior notice of these restrictions.  Except for the limited rights granted under this Agreement, all rights not expressly granted herein are reserved to NMP and its licensors, and you will have no rights in NMP Rights, by implication, estoppel, or otherwise, all of which are reserved by NMP and its licensors.  You agree not to challenge the validity of the NMP Rights or their exclusive ownership by NMP or its licensors.

• Right To Photos and Video. You hereby expressly grant to NMP and to its licensees and assigns the right to capture and record photographs, video, and/or audio impressions (including live or over the Internet) of me, my name, my biographical information, my surroundings, and any background or other images or video displayed by me (collectively, “Impressions”) recorded by or on behalf of us in association with the Services and to use the Impressions or any derivation thereof, including photographs, voice, silhouette, and other reproductions of physical likeness in any work in any media, now known or hereafter developed, including still image, videotaped image, captured video-conference image, CD-ROMs, DVDs and/or other analog or digital means, in connection with or as part of any presentation, program, publication, product, transmission, or other endeavor in which the same may be used or incorporated, and also in the advertising, and/or publicizing of any such works or their content, in perpetuity. You understand the Impressions may be used for any purpose at the discretion of us and our licensees and assigns, including commercial, educational, or informational purposes. You will not be entitled to any royalties, fees, or other compensation or notice, in connection with any such use. In addition, you waive any claims that any use of the Impressions or any derivation thereof as permitted hereunder portrays you in a derogatory manner or false light.

• Ownership of Materials. You agree that NMP will exclusively own all rights, title and interest, including copyright and other intellectual property rights, in, and to, the complete set of Impressions, with worldwide rights. You hereby assign to NMP any such right, title, and interest in and to any such Impressions and all intellectual property rights and goodwill therein. Without limiting the foregoing, we have the right for any purpose, to use, adapt, change, delete from or add to such Impressions, to combine all or any part of the Impressions with others, and to use, distribute, advertise, market, and otherwise exploit any and all of the foregoing in any manner and in any medium, as we may determine in our sole discretion. You agree to cooperate with us, at our expense, in all further actions, which we deem necessary or desirable to confirm, register, protect, or enforce NMP’s rights in and to such Impressions. You agree to execute all documents deemed necessary or desirable by us in connection therewith. To the extent we do not own any right, title, or interest in such Impressions, you waive all rights or ownership which you might otherwise have in or to any of the Impressions, including moral rights. You acknowledge no monetary or other compensation is provided in exchange for the assignment or waiving my rights.

6. Disclaimers and Limitations.

• Disclaimer. The Services and Content are provided AS IS, AS AVAILABLE, and WITH ALL FAULTS, and WE DISCLAIM ALL REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING REGARDING ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.  Without limiting the foregoing, you agree:

• No Assurance of Success. The Services and Content may include presentations about income growth opportunities. You understand that there can be no assurance that any prior successes by other individuals, or past results in income earnings, can be used as an indication of your future success or results. You acknowledge monetary and income results are based on many factors. We disclaim any representations or warranties, express or implied, that you will get rich, that you will do as well, or that you will make any money at all, especially if you do not do the work required or you ignore or fail to follow advice presented to you. Our products and services and those of others included or referenced in the Services or Content may have unknown risks involved and are not suitable for everyone. Making decisions based on any information presented in products, services, or websites used or referenced in the Services or Content should be done only with the knowledge that you could make no money at all. All products and services by us or others included or referenced in the Services and Content are for educational and informational purposes only.

• Due Diligence. You are solely responsible for doing your own due diligence when it comes to making business and financial decisions and all information, products, and services that have been provided by us or at or referenced in the Services or Content should be independently verified by your own qualified professionals including checking with your accountant, lawyer, or professional advisor, before acting on this or any information.

• Personal Responsibility. Information, products, and services provided by us should be carefully considered and evaluated, before reaching a business decision, on whether to take any action (or refrain from acting). You agree that we are not responsible for the success or failure of your business decisions relating to any information presented during or through the Services or Content.

• Limitations of Liability. YOU AGREE THAT WE ARE NOT LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF PROFITS OR BUSINESS OPPORTUNITY, ARISING OUT OF, IN CONNECTION WITH, OR RELATED TO THE AGREEMENT, THE SERVICES, THE CONTENT, OUR PERFORMANCE OR NON-PERFORMANCE, OR FOR ANY OTHER REASON, WHETHER IN AN ACTION OF CONTRACT OR TORT (INCLUDING NEGLIGENCE), WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN ADDITION, OUR MAXIMUM LIABILITY AND YOUR SOLE REMEDIES WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO US WITH RESPECT TO THE DIRECT CAUSE OF THE CLAIM.  YOU MUST PROMPTLY NOTIFY US IN WRITING OF ANY CLAIM ARISING OUT OF OR RELATED TO THE AGREEMENT, THE SERVICES, THE CONTENT, OR OUR PERFORMANCE OR NON-PERFORMANCE, BUT IN NO CASE MORE THAN 30 DAYS AFTER YOU KNEW OR SHOULD HAVE KNOWN OF THE CLAIM.  YOU MAY NOT MAINTAIN ANY SUCH CLAIM FOR WHICH TIMELY NOTICE HAS NOT BEEN MADE, BUT IN NO CASE MORE THAN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES.

• Exclusions. The laws of some jurisdictions may prohibit the disclaimer of certain warranties or limitations on the remedies for their breach.  To the extent any such laws apply and may not be waived by you, the applicable disclaimers and limitations of liability in these Terms are modified to the extent necessary to comply with such laws.

7. Indemnification. You agree to indemnify and hold us, our affiliates, and our and their officers, directors, managers, employees, agents, and representatives (collectively, the “Indemnitees”) harmless for any injury, claim, damages, cost, or expense (including attorneys’ fees) incurred by an Indemnitee arising out of or relating to (a) your use of the Services or Content, and (b) your breach of any provision of this Agreement.

8. Force Majeure. If we are unable to perform any obligation because of any event beyond our reasonable control and/or causes making it illegal, impossible, or commercially impractical, including acts of God; strikes or labor disputes; failure of the internet, network, or communications providers; failure of platform providers; or governmental orders or restrictions, we will be relieved from our performance to the extent, and for the duration, that such performance is delayed or prevented by such event or cause.

9. Remedies. Without limiting any other remedies, if we seek to enforce or chose to defend a claim arising out of or related to the Agreement, you will pay our costs and expenses arising therefrom or related thereto, including attorneys’ fees, to the extent that we prevail in such enforcement or defense.

10. Disputes. Any dispute, claim, or controversy arising out of or relating to this Agreement, the Services, Content, including the determination of the scope or applicability of this provision, will be determined by arbitration in Las Vegas, Nevada under the commercial arbitration rules of the American Arbitration Association. Judgment on the award in the arbitration will be binding and may be entered in any court having jurisdiction.  This arbitration provision will not preclude us from seeking provisional equitable remedies from a court of appropriate jurisdiction, and to the extent necessary to determine whether to grant any such remedy, to decide the underlying claims upon which any such remedy is sought, and such action or suit will not be considered a violation this provision.  Except as otherwise provided in these Terms, the fees and expenses of the arbitration and the arbitrator(s) will be borne equally by each party.  You acknowledge that you had the opportunity to consult with any attorney or other advisor of your choice about this arbitration provision. Subject to the foregoing, any dispute arising out of or related to the Agreement, the Services, or Content must be brought exclusively in a court sitting in Las Vegas, Nevada, except that NMP may seek temporary equitable remedies or enforce the orders of any court in any court of competent jurisdiction.

11. General.

• Choice of Law. This Agreement will be governed, constructed, and enforced in accordance with the laws of the State of Nevada, exclusive of its rules governing conflict of laws. 

• Notices. All notices required or permitted under this Agreement will be in writing and delivered to a party at its email address and/or physical address in the Order or at such substitute address as provided by a party by notice.  A notice will be deemed delivered (i) three (3) business day after deposit, fees prepaid, when sent by next day delivery with a reputable expedited courier, (ii) when sent by facsimile or electronic mail with acknowledgement of receipt, or (iii) in all other cases, when actually received.

• Relationship. The sole relationship between the parties is that of independent contractors and not one of partners, joint venturers, agents, or fiduciaries.  Neither party may make any warranty or representation, or assume or create any obligation, on the other party’s behalf except as may be expressly permitted in this Agreement. 

• Non-Exclusive. This Agreement and each party’s obligations under this Agreement are non-exclusive.  Either party may take actions and may enter into agreements with other parties regarding the same or different subject matter without any obligation to each other, including persons who are in competition with the other party.

• No Third Party Beneficiaries. Except as expressly stated in this Agreement, no person or entity has any rights or remedies under or by reason of this Agreement, other than the parties to this Agreement and their respective successors and permitted assigns.

• Assignment. You cannot not sell, assign, transfer, convey, give away, pledge, mortgage, or otherwise encumber any interest in this Agreement, any use, any right of access, or any license granted under this Agreement without our prior written consent of, which consent we may grant or withhold in our sole discretion based solely upon what we deem is in our best interests.  For this purpose, your change of control will be deemed a transfer.  Any purported assignment or transfer, by operation of law or otherwise, not having our written consent required by this Section, will be null and void and will constitute a material breach of this Agreement.  We have the right to transfer or assign all or any part of our rights or obligations herein to any person.

• Binding Effect. This Agreement will be binding upon and inure to the benefit of the parties hereto and their permitted successors and assigns.

• Waiver. A waiver or consent, express or implied, to or of any breach or default by any party in the performance by that party of its obligations under this Agreement is not a consent or waiver to or of any other breach or default in the performance by that party of the same or any other obligations of that party under this Agreement.

• Cumulative Rights. Except as otherwise specified in this Agreement, the rights and remedies set forth in this Agreement are cumulative of such other rights and remedies of the parties set forth herein, at law, or in equity.

• Interpretation. All section and subsection titles or captions in this Agreement are for convenience only.  They will not be deemed part of this Agreement and in no way define, limit, extend, or describe the scope or intent of any provisions hereof.  Whenever the context may require, any pronoun used in this Agreement includes the corresponding masculine, feminine, or neuter forms, and the singular form of nouns, pronouns, and verbs include the plural and vice versa.  The word “includes” and its derivatives means “includes, but is not limited to” and corresponding derivative expressions.  No consideration will be given to the fact or presumption that one party had a greater or lesser hand in drafting this Agreement.  This Agreement is prepared and entered into in the English language, as used in the United States.

• Severability. If any provision of this Agreement is held to be unenforceable, the remainder of this Agreement will continue to be enforced and binding on the parties, and the unenforceable provisions will be deemed severed from this Agreement. 

• Integration and Amendments. This Agreement constitutes the entire agreement between the parties pertaining to the subject matter hereof and supersedes all prior agreements and understandings pertaining thereto.  Except as stated in this Agreement, no amendment may be made to this Agreement unless the same is in writing and signed by the authorized representatives of the parties.
